Welcome to OyOsCloud. These Terms and Conditions govern your access to and use of our cloud-based fiscalisation services (the “Services”), provided by OyOsCloud (Pvt) Ltd, a registered company operating under the laws of Zimbabwe. By subscribing to or using our Services, you agree to abide by these terms.
1. Service Overview
OyOsCloud provides virtual fiscalisation services that enable businesses to issue and transmit fiscal invoices in compliance with the Zimbabwe Revenue Authority (ZIMRA) regulations. Our solutions are designed to integrate with your Point-of-Sale (POS), ERP, or billing systems.
2. Eligibility
To access our services, you must:
Be a legally registered business or entity in Zimbabwe.
Possess a valid ZIMRA VAT number or be undergoing registration.
Agree to comply with the applicable laws and fiscalisation regulations issued by ZIMRA.
3. Compliance with ZIMRA Regulations
Clients using OyOsCloud agree to:
Issue valid fiscal invoices through OyOsCloud’s platform in real-time or near-real-time.
Ensure that their devices or systems integrated with OyOsCloud meet ZIMRA’s technical and functional specifications.
Grant OyOsCloud the authority to transmit fiscal data to ZIMRA on their behalf where applicable.
Note: Clients are responsible for ensuring the correctness of tax rates, product codes, and other invoice-related information submitted via OyOsCloud.
4. Data Handling and Security
OyOsCloud ensures that all fiscal data transmitted or stored is:
Encrypted and stored securely on cloud infrastructure hosted within Zimbabwe or approved jurisdictions.
Not shared with any unauthorized third parties, except when required by law or under instruction from ZIMRA.
Backed up and retained in accordance with statutory requirements.
5. Client Responsibilities
As a user of our Services, you agree to:
Provide accurate, current, and complete business information.
Use the platform only for lawful purposes related to fiscal compliance.
Promptly notify OyOsCloud of any system errors or suspected data breaches.
Pay applicable service fees in accordance with your subscription plan.
6. Fees and Payments
OyOsCloud charges monthly or annual subscription fees, depending on your plan.
All fees are stated in Zimbabwe Dollars (ZWL) or USD, and are exclusive of VAT unless otherwise stated.
Failure to make timely payments may result in service suspension.
7. Intellectual Property
All content, software, and intellectual property related to OyOsCloud services are owned or licensed by OyOsCloud (Pvt) Ltd. Users are granted a non-exclusive, non-transferable license to use the platform for fiscalisation purposes only.
8. Termination and Suspension
OyOsCloud reserves the right to:
Suspend or terminate access for non-compliance with these Terms, suspected abuse, or fraudulent activity.
Terminate service if required by ZIMRA, legal authority, or due to a breach of Zimbabwean law.
Clients may terminate the service with 30 days written notice. Data may remain stored for legal and compliance purposes.
9. Limitation of Liability
OyOsCloud is not liable for:
Errors arising from incorrect data entered by the client.
Downtime or connectivity issues outside our control.
Loss of business or revenue resulting from temporary unavailability of the service.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Zimbabwe, and subject to the jurisdiction of the Zimbabwean courts.
11. Amendments
OyOsCloud may update these Terms from time to time. Clients will be notified of changes via email or platform notification. Continued use after changes constitutes acceptance of the revised terms.
